Job Summary

Join Our Team as Corporate Secretary

We are seeking an experienced and highly professional Corporate Secretary to support our President & CEO and Board of Directors while ensuring strong corporate governance, regulatory compliance, and effective board administration. The Corporate Secretary serves as a key liaison among the Board, senior management, regulators, and staff, and is responsible for maintaining corporate records, coordinating meetings, supporting compliance activities, and managing executive office operations.

Location: Walden Savings Bank Corporate Headquarters, Montgomery, New York 

Reports to: President & CEO

Salary: $74,000 - $99,000 annualized, negotiable based on years of experience, skill set, qualifications and other relevant factors. 

Summary of Duties and Responsibilities

Board, Governance & Regulatory Support: Act as the central point of contact for the Board, executive leadership, and regulators; manage all Board and Committee governance activities, including meeting coordination, materials, minutes, records, and policies; support regulatory and compliance processes; oversee director disclosures and evaluations; and assist with director onboarding and ongoing education.

Executive & Administrative Support: Provide high-level administrative and front-office support to the President & CEO by managing the Executive Suite, coordinating executive and Board schedules and meetings, handling communications with discretion, and organizing logistics for Board, committee, and major bank events.

Records, Communications & Operations: Maintain corporate and executive records, manage correspondence and document processing, support internal communications, oversee executive office purchasing, and assist with marketing and community event logistics as needed.

Qualifications Summary

Brings 7- 10 years extensive experience in corporate governance or executive support, with strong knowledge of Board operations and banking regulations, exceptional communication skills, high professionalism and integrity, and the ability to work effectively with Boards and senior leadership.

Education

Bachelor’s degree in business administration, finance, or related field preferred; Professional certification (Company Secretary, Chartered Secretary, or equivalent) a plus. Notary License preferred.
