Position Title: Senior Corporate Paralegal

Reports To: Sr. Corporate Counsel and Asst. Corporate Secretary

Department: Legal

FLSA Status: Non-Exempt

Purpose: The Senior Corporate Paralegal will assist the Office of General Counsel in addressing all daily facets of corporate law with focus on governance and contract support.

Supervisory Responsibilities:

Degree of Supervision Received: Extensive

Supervision Received (title): Sr. Corporate Counsel and Asst. Corporate Secretary

Essential Functions:

  1. Draft corporate agendas, minutes, resolutions, and meeting materials
  2. Organize and maintain legal and corporate files, policies, and procedures
  3. Support the review and management of company contracts
  4. Draft business entity and governance materials, non-disclosure and other agreements, correspondence, memoranda, and other documents
  5. Respond to requests for information pertaining to legal, governance, and corporate records
  6. Perform routine legal and factual research
  7. Demonstrate the standards and principles of the Five Star Bank experience in every interaction with internal and external customers, associates, and stakeholders. Incorporate the high-performance behaviors of teamwork, leading by example, and service in every facet of work.

Job Related Qualifications – Education and Prior Experience:

Required:

  • Education: Associate degree in any subject from an institutionally accredited school
  • Prior Experience: 7+ years of Paralegal Experience in Corporate setting
  • Licenses or Accreditation: Certified Paralegal.

Preferred:

  • Education: Bachelor’s Degree in Legal or Business Administration
  • Prior Experience: 10+ years of Paralegal Experience in Corporate legal setting.
  • Licenses or Accreditation: Certified Paralegal.

Competencies:

  1. Proficiency using virtual data rooms to upload and organize documents
  2. Proficiency in Microsoft Office Suite especially Word, Excel, and PowerPoint
  3. Strong written and verbal communication skills
  4. Superb attention to detail and organizational skills
  5. Strong research and analytical skills
  6. Ability to multitask a high volume of work

Physical Requirements:

  1. Able to regularly sit for prolonged periods of time.
  2. Able to regularly stand for prolonged periods of time.
  3. Extensive computer usage is required.
  4. Ability to work:
    1. Evenings
      1. Occasionally
    2. Weekends
      1. Occasionally
