Draft, review, and negotiate various corporate agreements, including purchase agreements, shareholder agreements, and financing documents. Conduct legal due diligence reviews for mergers, acquisitions, and investments. Advise clients on corporate governance matters and compliance issues. Assist in the structuring and formation of business entities. Represent clients in corporate transactions and negotiations. Requirements: Membership in the State Bar of California. Bachelor's degree in Law or related field (Juris Doctor preferred). Minimum of 5 years of experience practicing corporate law, focusing on M&A and Venture Capital/Emerging Companies. Proven track record of handling complex corporate transactions. Strong understanding of corporate governance principles and securities regulations.
