STS is an innovative systems engineering and integration firm with proven performance in delivering solutions to the DoD. STS is seeking an experienced Contracts/Subcontracts Manager to provide full life cycle contract and subcontract administration and management of government contracts and subcontracts.
This position will be located at our Arlington, VA office. There are no provisions for relocation. All candidates must be within the Arlington, VA commuting area or be willing to relocate at his/her expense.
Contract Management Roles & Responsibilities:
Review, manage, and administer contracts, orders, and modifications.
Review and analyze solicitations, contract requirements, special provisions, and Terms & Conditions (Ts&Cs) to ensure compliance with appropriate laws, regulations, and corporate policies and procedures.
Oversee proposal preparation, analyze price proposals and bids to determine reasonableness, submit proposals & bids, and negotiate contracts and Ts&Cs.
Develop, prepare, execute, and maintain agreements to include: Non-Disclosure Agreements (NDAs), Teaming Agreements (TAs), Subcontract Agreements, Consulting Agreements, Joint Venture (JV)Agreements, and Licensing Agreements.
Ensure all Contract Data Requirements List (CDRL) deliverables and milestones are met in accordance to contractual requirements and Ts&Cs.
Review and resolve all issues affecting company compliance and ensure satisfaction of legal requirements, company, and customer objectives.
Advise management regarding contractual rights and obligations, contractual risks and mitigations, Organizational Conflict of Interest (OCI), and provide interpretation of Ts&Cs.
Serve as the official company representative regarding legal commitments, requirements, and government acquisition regulations & requirements.
Develop and implement processes and procedures for contract management and administration in compliance with federal regulations and company policies.
Prepare and distribute contract summaries/briefs to key internal stakeholders.
Work closely with Program Manager, Program Finance, and Accounting personnel to ensure adequate funding is addressed and that funding requests are sent to the customer in a timely manner.
Monitor and execute contract close out, extension, or renewal.
Subcontract Management Roles & Responsibilities:
Develop, negotiate, and administer subcontract agreements, orders, and modifications ensuring flow-down consistency and compliance with the Ts&Cs of the prime contract.
Solicit and evaluate proposals/quotations from subcontractors/vendors/teaming partners through a source selection process and negotiate favorable prices/rates and terms for STS.
Establish a formal subcontractor/vendor source selection process and procedures in compliance with federal regulations and company policies.
Review and monitor payments, commitments and funds status. Add or de-obligate funds as required.
Monitor delivery and acceptance of Subcontract Data Requirement List (SDRL) and take action as required.
Close out subcontracts upon receipt and acceptance of all deliverable items and final payment.
Provide subcontract advice to program managers, management, and other functional departments as needed.
Analyze new/updated laws, regulations, and contract/subcontract trends for potential impact on business goals and objectives.
Participate in internal management reviews, customer/subcontractor reviews, and subcontractor surveys as required.
Prepare monthly, ad-hoc, and special reports and analyses as required.
Timely response to all formal customer and subcontractor/vendor inquiries and issues.
Assist with program and subcontract set up in STS systems, in compliance with contractual requirements and Ts&Cs.
Support and/or participate in contract/subcontract compliances and audits as required.
Maintain all contractual/subcontract documentation and records (e.g.: contracts, subcontracts, modifications, terms & conditions). Provide database integrity, management, and accountability for these and other legal contract/subcontract documents consistent with established company policies and practices.
Verbal and written communications must be timely and of consistently high quality in content, style and clarity.
May function as lead and provide work direction and scheduling to lower-level contract support staff.
