Company Overview:

Honor Services is a portfolio management firm that specializes in professional & back-office management for a group of companies focused in Civil Construction markets. The company provides support within the finance, accounting, human resources, risk, contracts, & acquisitions aspects of the portfolio’s operations. We are seeking a dedicated In-House Counsel to provide corporate legal support.


Position Overview:

The In-House Counsel organizes legal guidance across the organization. This role is pivotal in supporting the legal aspects of the company's risk management, insurance, employment, contracts, and corporate commercial matters. The In-House Counsel will ensure that the company’s legal activities align with its strategic objectives and comply with relevant laws and regulations. To serve company stakeholders with excellence, this position requires a strong ability to organize & administrate legal priorities & tasks across departments that in turn provide clear expectations on the company’s legal objectives & deliverables. The In-House Counsel will directly engage with contracts & related commercial matters, work closely with & advise the directors of Risk Management & Human Resources, & coordinate with specialized outside counsel on matters that fall outside of their own areas of legal practice.


Key Responsibilities:

  • Contracts:
  • Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, partnership agreements, and service contracts.
  • Ensure that all contracts comply with applicable laws and regulations and reflect the company’s best interests.
  • Provide ongoing support and advice to business teams on contract management and enforcement.
  • Corporate Commercial Matters:
  • Provide legal support on corporate governance, mergers and acquisitions, and other corporate transactions.
  • Advise on compliance with corporate laws, regulations, and best practices.
  • Oversee the maintenance of corporate records, ensuring they are accurate and up to date.
  • Legal Risk Management
  • Identify & define legal risk.
  • Advise on policy, procedure, strategy & structure.
  • Employment Law:
  • Support of HR department in all aspects of employment law, workman’s comp, company policy, & related matters.

Coordination with outside counsel for employment disputes and litigation



Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the state of Louisiana.
  • Minimum of 10 years of legal experience, preferably with experience in a corporate legal department or a law firm.
  • Strong understanding of corporate law, commercial law, employment law, insurance law, and risk management.
  • Proven ability to manage complex legal matters and provide strategic legal advice.
  • Excellent negotiation, communication, and interpersonal skills.
  • Ability to work collaboratively with cross-functional teams and senior management.
  • High ethical standards and integrity.
