The company provides support within the finance, accounting, human resources, risk, contracts, & acquisitions aspects of the portfolio’s operations.

Position Overview:

We are seeking an experienced and strategic General Counsel to serve as the top legal executive within our organization. The ideal candidate will lead all legal affairs, shape corporate legal strategy, and ensure the company’s activities are compliant, risk-averse, and aligned with our business objectives. This leadership role requires a comprehensive understanding of corporate law, commercial transactions, employment law, insurance, and risk management, combined with exceptional leadership and communication skills.

As General Counsel, you will oversee legal operations, provide strategic counsel to executive leadership, manage legal risks, and coordinate external legal resources when needed. Your leadership will be instrumental in shaping company policies, guiding mergers and acquisitions, and safeguarding the organization’s legal reputation.


Key Responsibilities:

  • Legal Leadership & Strategy:
  • Serve as a senior advisor to the company's executive team on all legal matters, shaping the organization’s legal vision and risk management approach.
  • Corporate Governance:
  • Oversee corporate compliance, maintain corporate records, and ensure adherence to all applicable laws and regulations.

o Provide legal support on corporate governance, mergers and acquisitions, and other corporate transactions.

  • Contract & Commercial Matters:
  • Oversee drafting, review, and negotiation of major contracts, including vendor, partnership, and service agreements.
  • Risk & Compliance:
  • Identify legal risks, develop policies, and advise on legal strategy for risk mitigation.
  • Transactional & M&A Support:
  • Provide legal oversight and guidance on mergers, acquisitions, and other corporate transactions.
  • Employment & Labor Law:
  • Support HR in employment law compliance, employee relations, and manage outside counsel on employment disputes.
  • Legal Risk Management:
  • Develop and promote policies and procedures to minimize legal exposure across the organization.


Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the bar in the state of Louisiana.
  • Minimum of 10 years of legal experience, preferably with experience in a corporate legal department or a law firm.
  • Strong understanding of corporate law, commercial law, employment law, insurance law, and risk management.
  • Proven ability to manage complex legal matters and provide strategic legal advice.
  • Excellent negotiation, communication, and interpersonal skills.
  • Ability to work collaboratively with cross-functional teams and senior management.
  • High ethical standards and integrity.
