We’re hiring a full-time Commercial and Compliance Counsel to join our legal department, with a primary focus on sales contracts, commercial agreements, and corporate compliance. This role plays a critical part in safeguarding the company’s contractual obligations while supporting strategic growth initiatives. Responsibilities
Negotiate, draft, and interpret a variety of sales contracts, master service agreements (MSAs), non-disclosure agreements (NDAs), and vendor agreements.
Serve as the legal advisor for sales and business development teams.
Partner with procurement, operations, and compliance departments to ensure cohesive contract management.
Evaluate and manage legal risk across commercial transactions and operational matters.
Contribute to the development and maintenance of contract templates and playbooks.
Assist in managing insurance claims and litigation (service of process, discovery responses, etc.).
Provide professional support in the oversight of company business and legal compliance matters.
Develop and implement licensing management strategies for multistate operations involving business and trade licenses, including the review, processing, and completion of requirements for obtaining business licenses and renewals.
Evaluate internal business processes as they relate to compliance activities, analyze operating procedures for regulatory requirements, and recommend solutions for identified weaknesses in business operations.
Review, process, and complete requirements related to information security, including regulatory and contractual compliance with customers, including the U.S. Federal Government.
Ensure compliance with administrative requirements applicable to contract relationships, including supplying qualification statements, certificates of insurance, corporate capability statements, and regulatory documentation.
Assist in contract administration, including providing business information necessary for pre-bid qualifications, insurance, and maintaining various databases containing enterprise data in order to complete contracts.
Assist in leasing and facilities management by overseeing permits, lease renewals, and facility operations.
Review legal and other regulatory requirements across various jurisdictions where the company operates, and maintain a database on compliance requirements.
Initiate related reports for insurance compliance, including claim management and reporting.
Be an informational resource for other Kastle departments by fielding questions to assist business units in satisfying jurisdictional requirements.
Coordinate and assist in audits and investigations.
Qualifications
Juris Doctor (JD) from an accredited law school.
Active bar membership in at least one U.S. jurisdiction, with the ability to register as Corporate In-House Counsel in Virginia.
5–7+ years of legal experience in a corporate or law firm setting.
Demonstrated experience in, or a willingness to learn about, commercial contract negotiation, particularly sales-related agreements.
Preferred Qualifications:
Background in government contracts (FAR/DFARS), bid/proposal review, or subcontracting.
Experience with construction industry legal issues, including contract disputes or lien law.
Understanding of data privacy frameworks such as GDPR, CCPA, or HIPAA.
