ABOUT THE ROLE
The Contracts & Compliance Analyst applies skills and knowledge of professional methods to assist with the review, negotiation, execution, and compliance with clients’ Outside Counsel Guidelines (OCG) and related documents. Administers the Contracts and Compliance team’s communications and workflow and develops analytical skills to assist the Contracts and Compliance Counsel and Coordinator as needed. Responds to and provides updates regarding review requests, supports the maintenance of the OCG workflow application by drafting activity notes and tracking of deadlines, to ensure service and satisfaction are maintained. Provides administrative support to the Contracts & Compliance Team as needed. Ensures client service and satisfaction are attained in all areas of position and maintained while working to meet deadlines and demand priorities
Contracts & Compliance Analysis
- Assist with monitoring and responding to requests for document reviews and facilitating related communications and with other Conflicts / New Business -related administration, upon request.
- Screen submissions from partners and business professionals and determine if the document type is appropriate for review by the team.
- Provide back up support to research clients and retrieve any previous versions of OCG and engagement letters, current billing history, relationship partners and other materials; compile review packages; and upload review packages into the ServiceNow workflow application.
- Provide back up support to compare new submissions against any prior versions and highlight changes and the Firm requested amendments that were client approved. Retrieve email exchanges from the team mailbox related to any prior reviews and any other supporting documentation to assist with the review by the Senior Contracts & Compliance Administrator, Conflicts Counsel, and others.
- Monitor and maintain the review, negotiation, execution, and compliance stages of submissions in the workflow application. Keep current on approaching deadlines and the auto-generated reminders.
- Query and respond to queries from partners, secretaries, and other Firm Business Professionals regarding the status of the review, negotiation, and execution of client OCG, engagement letters and related documents.
- Distribute executed OCG to the Firm’s Business Professional teams, including the Conflicts Resolution Specialist. Archive all executed OCG in the Firm’s document management system.
- Participate in developing, improving, and implementing team and related department cross-team protocols, processes, and applications.
Contracts & Compliance/ Conflicts New Business Support
- Monitor the Engagement Letter Administrator email in-boxes for documents submitted for review by the Contracts & Compliance team and ensure all messages have been reviewed and managed with appropriate follow up.
- Monitor the Engagement Letter Administrator email in-boxes for queries on status updates and respond as appropriate, including on behalf of the Senior Advisor, Counsel, and the Coordinator.
- Confer with the Coordinator and Counsel to confirm submitted documents are of the type the team should review and acknowledge receipt of requests. If appropriate, advise requestor who the document should be forwarded to and reviewed by.
- Perform high level research on the client in the Firm’s Conflicts, Financial and document repository systems to determine whether the client is current, potential or no longer active and compile and provide a synopsis to the Coordinator. Upon decision by the Coordinator, forward the document to the Firm’s Billing & Collections and the Pricing teams. Confer with the Coordinator to circulate executed OCG “packages” to Business Professionals departments throughout the Firm.
ABOUT YOU
- Bachelor’s degree.
- One year of law firm experience analyzing OCG, client engagement letters and related documents, as well as familiarity with the roles and functions of the administrative departments within a global law firm preferred
- One to two years’ experience using online databases for research and / or administrative management purposes.
- Familiarity with MSOutlook, iManage, Adobe, Intapp Open Conflicts, ServiceNow workflow, and AI tools preferred.
- Ability to learn the Firm’s positions vis-à-vis clients’ provisions.
- Strong communication and interpersonal skills, both verbal and written.
- Strong organization, research, analytic and issue spotting skills.
- Sound judgment and strong decision-making skills.
- Attention to detail, with ability to produce detailed, accurate work consistently.
- Ability to manage complex workflow and prioritize work effectively under time pressure.
- Ability to keep confidential Firm business, information, observations, and viewpoints.
- Flexibility to work overtime as needed.

Additional compensation may include a discretionary bonus, overtime as applicable, health/welfare benefits, retirement contributions, paid holidays, and PTO. The range displayed is specifically for positions performed in those cities/states and may vary based on factors including but not limited to the following: local market data and ranges; an applicant's skills and prior relevant experience; and certain degrees, licensing, and certifications.
New York, San Francisco, Palo Alto salary range: $70k to $98k
Los Angeles, San Diego, Boston, Washington, D.C. salary range: $67k to $90k
