Senior Transactional Paralegal

McCarthy Holdings, Inc. (MHI), is currently searching for a Senior Transactional Paralegal to support the Legal Department. This position can be located in our Phoenix, AZ office and will support multiple attorneys and business units across 5 regions.

POSITION SUMMARY:

The Senior Transactional Paralegal will support attorneys in preparing and managing documentation related to construction, corporate, real estate, and financial transactions. This role involves document drafting and review, document negotiation, due diligence, closing coordination and entity formation. The ideal candidate is detail oriented, proactive and capable of managing multiple priorities in a fast paced environment.

PRINCIPAL RESPONSIBILITIES:

  • Draft, review, edit and negotiate various transactional documents, including contracts, agreements, resolutions and closing binders.
  • Conduct due diligence reviews and summarize findings.
  • Liaise with clients, vendors, government agencies and internal departments.
  • Track and manage critical dates and deliverables for transactions.
  • Assist with entity formation, governance and maintenance.
  • Organize and maintain corporate records, including minute books, resolutions and filings
  • Ensure compliance with internal policies and applicable laws and regulations.
  • Is responsible for the management of the internal matter management system including opening matters, organizing documents, running reports, and assisting with outside counsel accounts payable
  • Organizes and maintains electronic document repositories for active matters
  • Tracks legal deadlines and ensures timely compliance with document requirements
  • Attends meetings with internal stakeholders and participates in strategy discussions

QUALIFICATIONS:

  • 10-15 years of experience as a litigation paralegal
  • Bachelor's degree or Paralegal Certificate from an ABA-approved program
  • State licensed if required by the state in which you currently practice
  • Experience in construction industry (preferred)
  • Strong understanding of contract law, business entities and the transaction process.
  • Proficient in Microsoft office suite and legal document management systems.
  • Notary Public designation is a plus.
  • Exceptionally skilled at organization; detail-orientated
  • Superb written and oral communication skills
  • Ability to maintain strict confidentiality and exercise discretion
  • Excellent judgment and high degree of integrity
  • Communicate effectively with all levels of management and staff as well as outside counsel
