Summary:

This role serves as both Chief of Staff for the Chief Legal Officer and Head of Corporate Governance. Responsibilities include supporting the strategic direction and operational management of the legal department while leading and overseeing the development and implementation of corporate governance frameworks.

Essential Job Duties and Responsibilities:

  • Chief of Staff/Leadership Support:

    • Identify and assess investment opportunities aligned with the company's strategic goals Identify opportunities to serve as Chief Legal Officer’s proxy, as appropriate

    • Serve as an integrator to create greater team cohesion and inspire further engagement in the vision/strategy to ensure the Chief Legal Officer is focused on what is most important

    • Become a trusted advisor, thought partner, confidante, and sounding board for the Chief Legal Officer

  • Corporate Governance:

    • Board and Committee Operations: Provide governance advice and support to the board of directors and committees, including preparing meeting materials, standing agendas and managing board operations.

    • Framework Development: Design, implement, and maintain robust corporate governance frameworks, policies, and procedures.

    • Stakeholder Engagement: With respect to corporate governance, cultivate and maintain relationships with key stakeholders, including regulatory bodies, external auditors, and legal counsel

  • Strategic Planning & Management:

    • Lead collaboration across the organization through the planning process, creating alignment and accountability among the senior leadership team

    • Drive accountability for progress against strategic projects and ensure the department priorities move from conception to completion

    • Establish, cultivate, and maintain strong, collaborative working relationships with key internal and external constituencies, with a focus on resolving as many internal questions and issues as possible

    • Develop and implement change management strategies and plans to facilitate successful organizational transitions.

  • Information Management & Communication:

    • Develop and execute communication plans to keep stakeholders informed and engaged throughout the board and committee processes.

    • Work collaboratively with other departments and stakeholders to ensure alignment and effective implementation of governance and change initiatives.

    • Gather information and integrate data to develop and manage monthly, quarterly, annual, and ad hoc executive level reporting for, including required cadence for Annual Planning, Quarterly Business Reports, etc., paying close attention to detail for accuracy and insight.

    • Consult on and prepare executive-level presentations (both internal and external, as appropriate), serving as the voice of the executive in meetings as appropriate

  • Maintain regular and punctual attendance.

  • Comply with all company policies and procedures.

  • This position is an individual contributor with no direct reports but may provide guidance, leadership, or training to others.

  • Demonstrated experience and ability to effectively develop and manage budgeting and forecasting processes

  • Able to coordinate and drive progress for cross-functional initiatives, working closely with department heads and other stakeholders to ensure alignment and successful execution while establishing strong relationships

  • Experienced at developing and maintaining strong relationships with key stakeholders, including customers, partners, and industry associations

  • Capable of processing and presenting information to diverse audiences while maintaining effective, collaborative relationships with all stakeholders, including members of the leadership team, external organizations, and vendors

  • Able to take a comprehensive approach to forecasting and achieving sustainable, well substantiated solutions with accountable, measurable tracking and reporting metrics and effectively summarizing key metrics, initiatives, and risks.

  • Can take a deep-rooted approach with integrity and high ethical conduct when communicating with or about other associates

  • Can manage special projects and initiatives as assigned by the Chief Legal Officer, ensuring timely completion and high-quality deliverables

Education and/or Experience:

  • Bachelor’s degree in financial or related field required, Masters degree preferred.

  • Minimum of 12 years’ relevant working experience

  • Experience with governance and risk management principles, methodologies, and tools

  • Experience working with or influencing senior leadership

  • Strong proficiency with Microsoft Office Suite, including PowerPoint, Word, and Excel.

  • Knowledge of the mortgage or financial industry is preferred
