Overview

IDC is looking for a Corporate Paralegal to join our Legal Team. The successful candidate will be responsible for, among other things, overseeing and managing corporate governance matters across the Americas and APAC, supporting board and shareholder meetings, maintaining corporate records, and strengthening governance standards in line with company policies and local regulations. The ideal candidate will have a robust understanding of corporate secretarial obligations, strong organizational skills, and experience managing governance matters in a multi-jurisdictional environment.

Responsibilities

  • Oversee the organization and management of regional corporate records in secure document management systems, ensuring accessibility and accuracy.
  • Manage statutory filings with local regulatory authorities, ensuring compliance with local filing requirements and deadlines.
  • Assist with the incorporation, dissolution, or restructuring of entities in the region, coordinating with legal and finance teams.
  • Organize and support board and shareholder meetings, including preparing notices, agendas, and comprehensive meeting packs (including through the use of board portal technology like Diligent), drafting resolutions, managing meeting logistics, distributing materials, and ensuring timely post-meeting follow-up actions.
  • Prepare, update, and maintain regional entity organizational charts and other structural documents.
  • Manage and update key governance documents, including corporate records, including board and shareholder resolutions, minutes, company registers, powers of attorney, and other statutory documents, ensuring they are accurate and up-to-date.



Qualifications



  • University level degree or equivalent, with 5+ years in a corporate secretarial, governance, or compliance role, with experience in multi-jurisdictional governance.
  • Comfortable working as part of a cross functional team.
  • Strong understanding of corporate secretarial obligations and regulatory compliance within the region.
  • Excellent written and verbal communication skills, with meticulous attention to detail.
  • Ability to manage complex projects, multi-task, and meet tight deadlines.
  • Proficiency in corporate governance software, document management systems, and Microsoft Office Suite, with specific experience in board portal software (e.g., Diligent), managing board materials, and coordinating electronic meetings.

Salary range and additional compensation, including discretionary bonuses and incentive pay, are determined by a rigorous review process. This process considers the experience, education, certifications, and skills required for the specific role, equity with similarly situated employees, as well as employer-verified US region-specific market data provided by an independent 3rd party partner. The expected total annual compensation, depending on location and experience, is between $75,000-$99,000 USD and is inclusive of base salary and variable compensation.
