Position Summary:
The Corporate Counsel advises internal clients on a broad range of legal issues, manages the company’s legal function, oversees outside counsel, and leads the contracting process by reviewing and negotiating customer, vendor, and other critical agreements. This role leverages expertise in corporate contracting, employment law, and health law. The Corporate Counsel provides guidance on business and regulatory matters, including employment issues, vendor arrangements, commercial agreements for the Pharma Services Division, and other areas of organizational risk.
Core Responsibilities:
- Participate in the development of corporate legal policies and procedures and provide continuing counsel and guidance on legal matters and their implications
- Provide general legal support to the human resources team on employment law matters, including hiring, performance management, termination, accommodation, harassment and discrimination, and related litigation matters
- Analyze all customer agreements, vendor agreements, and other critical contracts and provide legal advice to ensure compliance with applicable laws and regulations
- Review and advise on commercial Pharma Division agreements and arrangements
- Assist the Assistant General Counsel in managing the company’s internal legal function, staff, and outside counsel
- Assist the Assistant General Counsel in advising on the legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities
Experience, Education and Qualifications:
- Juris Doctor degree from and accredited U.S. law school with current admission to a state bar
- Certification in health care compliance preferred
- 6 or more years of experience as a practicing lawyer required, with litigation and corporate law experience in a law firm setting preferred before moving to an in-house position preferred
- Exposure to or familiarity with litigation, commercial contracting, corporate transactions, and health care laws and regulations
- Demonstrate exceptional academic achievement along with strong writing and analytical skills
- Represent health care clients preferred
- Bring proven legal experience in a law firm environment and excellent research, analytical, written and verbal communication, interpersonal, and project management skills
- Show high motivation and a strong work ethic
- Maintain a high degree of professional ethics and integrity
- Apply sound judgment and analytical skills
- Build strong interpersonal relationships and communicate effectively
- Sit and/or stand for long periods of time
- Lift up to 15 pounds
