Position Title: Attorney/Sr Attorney

Location: Des Moines, IA, United States

Description:
This is a multi-level posting. Candidates may be considered for any of the posted levels, depending on their level of experience and depth of expertise.

Provides legal support for MidAmerican Energy Company to assist it in accomplishing its business objectives, consistent with existing laws, regulations, and contractual obligations. This position will focus on transactional work involving the negotiation, drafting, and review of various types of contracts, including contracts related to the acquisition, development, construction, and operation of large capital projects including but not limited to; generation additions and upgrades, electric vehicle infrastructure, energy storage, decommissioning, environmental, communications, facilities, asset acquisitions, and new technology. Position will provide legal advice to a variety of business units and may engage in investigation, advice or management for litigation associated with the business units supported (e.g., tort and commercial claims and disputes). Position may have direct interaction with regulators and staff at regulatory commissions in Iowa, South Dakota, Illinois, and/or the Federal Energy Regulatory Commission.

Responsibilities:
Contract negotiations, drafting, and review, with an emphasis on contracts related to the acquisition, development, construction, and operation of large capital projects including but not limited to: generation additions and upgrades, electric vehicle infrastructure, energy storage, decommissioning, environmental, communications, facilities, asset acquisitions, and new technology. Representative contracts include:

  • Generation equipment and other infrastructure supply agreements;
  • Professional services agreements;
  • Balance-of-plant engineering, procurement, and construction contracts;
  • Asset purchase agreements and term sheets for same;
  • Development services agreements;
  • Service and maintenance agreements and operation and maintenance agreements;
  • Real property-related contracts (e.g., site option agreements, site acquisition agreements, easements, and neighbor agreements);
  • Contract assignments, amendments, and scope change orders;
  • Responses to force majeure claims;
  • Warranty claims for defects in equipment and services;
  • Settlement agreements to resolve contractual disputes;
  • Purchase orders and procurement-related agreements for the purchase of equipment and professional services;
  • Non-disclosure and confidentiality agreements;
  • Assist with the preparation of RFPs and review of RFP responses;

Representation before regulatory agencies, including preparation of written materials and appearances at hearings or other meetings.

Legal compliance and preventive law counsel and training.

Dispute avoidance counseling, dispute and litigation management, outside counsel management.

Analysis of business opportunities.

Perform additional responsibilities as requested or assigned.

Qualifications:
Must have a law degree from an accredited law school.

Must be licensed to practice law in Iowa or be licensed in another state and subsequently licensed in Iowa within one (1) year after start date.

Three (3) years of legal experience is required for the Attorney level position; six (6) years of legal experience is required for the Senior Attorney level position.

Experience in a regulated, energy, or construction-related industry, regulatory agency, or law firm is a plus.

Must demonstrate sound oral and written communication skills, sound legal and business judgment, and an ability to fulfill leadership responsibilities as assigned; taking an ownership approach to projects and tasks is critical.

Must have a good understanding of the law in the required areas of expertise and be proficient in its interpretation and application.

Must possess effective analytical, problem-solving, and decision-making skills.

Must be able to handle time-critical assignments, appropriately prioritize projects, and meet established deadlines.

Must be available outside of normal working hours, as needed.

Must be able to handle a heavy workload, multiple project responsibilities and continually changing priorities.

Must be willing to travel periodically for projects, hearings, litigation, negotiations, etc.

Must support and model MidAmerican's employee policies and procedures, including workplace safety rules.

Must exercise proficiency in the use and application of computer programs, including Excel spreadsheet, Microsoft Word processing, and Outlook e-mail programs.
