Responsibilities

The Senior Contract Specialist position will provide effective review and negotiation of the Privacy and Security terms for our agreements with customers and suppliers. This individual will partner with our Legal, Sales, and Vendor Management teams to ensure that the Privacy and Security terms of our agreements meet our customer expectations and business requirements and meet our requirements for higher risk suppliers.

Responsible for drafting, evaluating, and negotiating contracts, and resolving contract related issues with customers and suppliers covering a wide range of transactions, as well as identifying and processing any risks or unusual obligations from these contracts. Responsible for continuously improving the quality and speed of the Company’s contracting process and maintaining accurate contract records. Responsible for creating and maintaining relationships with internal and external customers and suppliers. This position closely collaborates and partners with all internal business and corporate stakeholders, including the leadership team. This position has progressive responsibility and independence based on the job level.

Key Areas of Responsibility 

  • Review, edit and negotiate agreements, letters, and other documents, including those relating to sales to end-user customers, relationships with partners, and suppliers
  • Review and draft responses to supplier and customer-proposed privacy and security terms and conditions contained in requests for proposals, invitations to bid and related documents
  • Identify and manage contract risks and unusual obligations within Enlyte’s risk management system
  • Develop and maintain the Security Contracts Playbook covering the most frequently encountered issues and scenarios in our contract negotiations with both customers and suppliers
  • Oversee compliance with applicable internal policies and laws, rules, and regulations
  • Provide training to internal staff supporting contracts with our customers and suppliers
  • Meet with and advise clients on commercial contracting issues
  • Develop and maintain contract playbook
  • Assist in developing contracting templates and standards
  • Develop strong strategic relationships with clients
  • Perform other duties and responsibilities as directed


Qualifications

  • Bachelor’s Degree in a related field preferred
  • Qualified candidates must have 5-10 years of commercial contract drafting experience with at least 5 years of experience with IT contracts, including reviewing, negotiating, and drafting software licensing agreements, IT sales agreements, cloud, and software as a service agreements and service/consulting agreements.
  • Understanding of Privacy laws and regulations
  • A general understanding of cloud privacy and security contract challenges
  • Experience presenting and communicating to Customers and Executive Management 
  • Ability to effectively work and collaborate with technical and non-technical resources 
  • Possess a keen attention to detail
  • Self-motivated and able to work independently
  • Strong organizational skills
