Intro and job overview:Ā 

As Commercial Counsel with Precisely, you will play a key role in closing deals relating to the sale of Precisely software and data products as well as professional services and other business, including:
(a) developing practical and creative solutions to meet Preciselys requirements related to commercial transactions in the Americas,
(b) advising internal clients on the various legal risks, business strategies, and other issues related to commercial transactions,
(c) applying your excellent business judgment, strategic thinking, and experience in complex technology contract negotiations,
(d) collaborating with other areas of the global legal team, including compliance, acquisitions, IP, and product and assisting with due diligence and integration activities as may arise, andĀ 
(e) taking initiative and having the ability to work both independently and collaboratively in a fast-paced and high-volume practice.

Responsibilities and Duties:Ā 

  • Review, interpret, draft, revise, and negotiate various commercial contracts, includingĀ software licenses, software-as-a service agreements, product order schedules, other customer-sideĀ content and technology licenses, consulting and services agreements,Ā statements of work, managed service agreements, reseller and distributor agreements, OEM and MSP agreements, and confidentiality/non-disclosure agreements.
  • Collaborate with various internal departments, including Sales, Finance, Product Development, andĀ Operations, to ensure accuracy and completeness of contract documents and compliance withĀ company policies, procedures and risk tolerance.
  • Respond to legal and contract requests from various internal departments, summarize andĀ communicate legal concepts, and advise on agreement structures, approval processes,Ā company policies, and procedures.
  • Assist with the design, development, implementation and monitoring of corporate policies, procedures and related training in collaboration with various internal departments and other members ofĀ the Legal team, such as approval guidelines, codes of conduct, privacy and data protection, and anti-bribery and corruption.
  • Perform independent reviews, risk assessments, and gap analysis of compliance processes to ensure effectiveness and identify deficiencies.
  • Review and maintain standard form agreements and assist other members of the Legal team with the review of non-standard agreements, for compliance with corporate policies and regulatory requirements.
  • Assist with acquisitions, due diligence and integration activities as needed.
  • Other duties may be assigned.

Requirements and Qualifications: .

  • JD from an accredited U.S. law school.
  • Minimum of 6 years of relevant work experience with at least 3 years working in a technology sales-supporting role in the Americas.
  • Knowledge and experience in contract management discipline, process, strategy and execution, and drafting and negotiating key provisions in various forms of outbound licensing and partnership agreements as noted above.
  • Experience executing compliance oversight responsibilities in sales agreements (including those related to general privacy and data protection laws, rules and regulations) and coordinating with subject matter experts as needed.
  • Self-starter, capable of taking on special projects and challenging assignments, and working effectively in a fast-paced environment.
  • Advanced knowledge of contract law generally, with strong knowledge of relevant areas of substantive law (e.g., liability limitations, indemnity, warranty, and contractual intellectual property issues).

PREFERRED REQUIREMENTS:Ā 

  • Advanced knowledge of software agreements (including SaaS) and relevant associated areas of substantive law as well as process best practices.
  • Significant working experience and understanding of general revenue recognition guidelines.
  • Experience with public sector contracting a plus.
  • Ability to negotiate in Spanish a plus.
