Seeking full time candidates in the Chicago land area.

This is a hybrid position and will require working in our corporate office two days per week located in Oakbrook Terrace, IL.

The Assistant General Counsel II is responsible for contract review and negotiations with interaction to business clients at all levels of management and general legal support in the Enterprise Legal Department for The Joint Commission and its affiliates.

PRINCIPAL DUTIES AND RESPONSIBILITIES

Duties include contract review and negotiations with interaction to business clients at all levels of management.

Participate in legal counseling with internal clients on a broad range of topics related to contract risks and mitigation on both the procurement and provisioning end of business. Independently negotiate contracts with outside attorneys.

Participates in contract negotiations and other transactions to minimize risk and maximize rights for the Enterprise.

Acts with general instructions and discretion to minimize costs/risks and maximize benefits/returns in drafting agreements with external parties.

Assist in a variety of moderate scope legal matters within the Legal Department and for other departments as requested.

Participate and support the department strategic initiatives.

As requested by supervising attorney and the EVP & CLO, coordinate outside counsel projects, keeping the supervising attorney and EVP & CLO informed of developments.

Understands the needs of the internal client or team of clients and applies people skills and legal knowledge to those needs.

Responds promptly to staff regarding legal questions.

Participates in the development of corporate policies, procedures and programs.

May be assigned to review external communications and marketing materials for legal implications, and recommendations of potential solutions.

Receptive to advice or training from more experienced attorneys.

May provide coaching to occasional interns from outside the Enterprise.

Bachelor's degree and Juris Doctor from an accredited law
Current professional license required at time of hire which must be maintained. No history of adverse actions relative to current or previous professional
Preference given to candidates with in-house health law experience.
Knowledge of corporate law with 2-8 years of relevant experience.
Contract drafting and negotiating experience, including vendor agreements, licensing agreements, services agreements, subcontracts, independent contractor agreements, requests for proposals, and nondisclosure agreements. Preference given to candidates with IT, data use, and data security experience.
Developing professional expertise, applies company policies and procedures to resolve a variety of issues.
Works on problems of moderate scope where analysis of situations or data requires a review of a variety of factors. Exercises judgment within defined procedures and practices to determine appropriate action. Builds productive internal/external working relationships.
Knowledge of health law relevant to quality and safety.
Normally receives little instruction on day-to-day work, general instructions on new assignments.
Experience with e-commerce and technology-related agreements, including intellectual property
Knowledge of business associate agreements and HIPPA generally.
Experience in responding to third party subpoenas seeking confidential information, asserting privilege where appropriate.
Proficiency in Microsoft Word and PowerPoint, and experience in Excel.
Excellent oral and written communication skills.
